Alice Xu specializes in labor & employment and compliance aspects.  Her area of focus includes all aspects of labor & employment matters, including establishment and enforcement of company policies, HR documentation, hiring and termination, employee compensation & benefits, social insurance, cross-border employment issues, mass redundancies, labor dispatch, service outsourcing, labor dispute resolution, HR due diligence and employee transition issues in mergers, acquisitions and restructurings, trade union matters, and foreigners’ employment and residence in China.  Alice Xu’s practice areas also include anti-bribery, investigation and handling of compliance matters, etc.

Professional Experience

· Drafting and reviewing HR/employment documents for various global companies, e.g. employment contract, labor service contract, dispatch agreement, secondment agreement, confidentiality & non-competition agreement, mutual termination agreement, employee handbook, code of conduct and other HR policies, etc.;

· Advising a lot of global companies in different industries on various HR/employment matters, including conclusion and amendments of employment contracts, performance review, adjustment of position and compensation, disciplinary actions, and termination of employment;

· Advising a big state-owned bank on HR/employment matters, and reviewing relevant HR documents for the bank;

· Advising many international companies with different backgrounds on labor dispatch and collective transfer of employees from labor dispatch to direct hiring;

· Assisting more than 30 world famous foreign companies with different backgrounds (e.g. clothing, communication, engineering, manufacturing, security, retail, media, luxury, etc.) in their major redundancy projects, and advising on various issues involved in the redundancy process;

· Advising a top-tier US listed chemical company on the PRC employment issues in its M&A transaction with another world-leading chemical company and conducting HR-related due diligence investigations involved in the transaction;

· Assisting a senior VP of a top tier US company in employment and immigration matters after his joining a major PRC mobile internet company, and providing services for the whole immigration process;

· Advising a UK company on the employment and immigration of its CEO, Asia Pacific and the immigration of her families, and providing services for the whole immigration process;

· Assisting a US listing company in investigating its senior managers who violated US export control regulations, and preparing relevant employment termination documents;

· Assisting a world famous pharmaceutical company in investigating several senior sales managers’ corruptions, and advising on their potential criminal liabilities and how to terminate their employment contracts;

· Assisting two US listing companies in dealing with the employees who violated the conflict of interest policy, including providing legal advice, making AIC and household registration investigation, interviewing employees and preparing relevant termination documents;

· Assisting a US clothing company in interviewing three QCs who violated the compliance policy and negotiating with them for mutual termination of employment;

· Assisting a US manufacturing company in interviewing three female employees who were suspected of violating the reimbursement policy and compliance policy and negotiating with them for mutual termination of employment;

· Advise an international top-tier hotel and resort company on legal requirements in relation to sexual harassment and how to conduct investigation into a senior manager’s sexual harassment behaviors and how to terminate his employment;

· Representing a world famous pharmaceutical company in the litigation proceedings initiated by its former senior salesperson who was terminated due to her serious violation of the company’s compliance policy;

· Representing a famous UK listing company in the litigation proceedings initiated by its former QC who was terminated due to serious violation of the company’s reimbursement policy;

· Representing a famous UK listing company in the labor arbitration proceedings initiated by its former engineer who was terminated due to serious violation of the company’s conflict of interest policy;

· Providing training for a real estate company regarding commercial corruption, embezzlement and conflict of interest.
